SYDNEY (S&P Global Ratings) Aug. 8, 2019--S&P Global Ratings today said that it is keeping its ratings on AMP group entities on CreditWatch with negative implications following the announcement by AMP that it has renegotiated the sale of AMP Life and affirmed its commitment to focus on its Australian wealth management, bank, and global investment management operations.
The ratings on AMP Ltd. (A-/Watch Neg/--), AMP Life Ltd. (A/Watch Neg/--), and AMP Bank Ltd. (A-/Watch Neg/A-2) face downward pressure as the likelihood and timing of divestments, future earnings potential, and structure of the prospective AMP group still face some uncertainty.
The revised sale terms of AMP Life to Resolution Life remain broadly consistent with our rationale for the original CreditWatch placement in March 2019. The likelihood of the transaction, which had stalled in July 2019, now proceeding appears on track for the first half of 2020 with an Australia-based holding company to address regulatory concerns.
The A$2.4 billion impairments AMP reported in its half-year 2019 earnings, while material, are noncash and largely relate to a write-down of goodwill. Therefore, it does not substantively impact regulatory capital, or our view of capital as we already adjust for goodwill.
Our view of AMP Bank's strategic importance to the group remains unchanged. Should the divestment of AMP Life progress as intended, we expect to lower our issuer credit rating on the bank in line with the balance of the group, although we expect post-divestment that the bank would become more strategically important to the group.
Should the sale of AMP Life not proceed, we would view downside momentum to the group credit profile, and associated subsidiary ratings, as being restrained but not eliminated.
We will resolve the CreditWatch status once we have further clarity on the AMP Life transaction and clarity on the credit quality and structure of the future AMP group.
