Harvest Health & Recreation acquires plant nursery company for $65.7M

Harvest Health & Recreation Inc., a medical cannabis company, has acquired Gainesville, Fla.-based plant nursery company San Felasco Nurseries Inc. for $65.7 million.

San Felasco holds a medical marijuana dispensary license and an authorization to operate as a medical marijuana treatment center in the state of Florida. Each medical marijuana treatment center in the state is allowed to operate up to 25 dispensaries.

The purchase price for the deal includes $34.1 million in cash, $29.7 million in multiple voting stock and $2 million in assumption of debt. Tempe, Ariz.-based Harvest Health & Recreation also agreed to issue $4 million in multiple voting stock valued at $390 per share to a San Felasco lender to waive certain rights and to extend the term of certain debt and financing commitments.
