PE firm RJD Partners acquires Improve International for £12.8M

London-based private equity firm RJD Partners Ltd. acquired Improve International Ltd. and its subsidiaries from pharmaceuticals company Benchmark Holdings PLC for £12.8 million.

Improve directors Heber Alves, David Babington and Rui Lobão are also participating in the acquisition and will have an interest of 30% of share capital.

Under the terms of the transaction Benchmark will receive an initial payment of £9.5 million on completion and deferred consideration, in three installments, of up to £3.3 million, payable between completion and September 2022, subject to certain performance conditions.

Improve is a professional development training provider for veterinary professionals.

Numis was nominated adviser for Improve's directors on the transaction.
