Deal Wrap: Arcline buys Omega Engineering; AGIC invests in Eulitha

* Grosvenor Capital Management LP, or GCM Grosvenor, and Blue Wolf Capital Partners LLC purchased transportation services and infrastructure provider Hallcon Corp. The seller is an investor group that includes Canadian private equity firm Novacap. TD Securities was financial adviser and Greenberg Traurig LLP was legal adviser to GCM Grosvenor and Blue Wolf. Houlihan Lokey was financial adviser and Blake Cassels & Graydon LLP was legal counsel to Hallcon.

* A fund managed by AGIC Capital invested in Eulitha AG, a Switzerland-based provider of noncontact nano-ultraviolet-lithography equipment and services.

* Arcline Investment Management LP purchased Omega Engineering Inc., which offers sensing, control and monitoring technologies, from Spectris PLC. EC M&A was financial adviser to Arcline, which added Omega to its portfolio company, the Dwyer Group.

* T. D. Williamson Inc., a pipeline infrastructure maintenance company, received an investment from SCF Partners Inc.

* Gilde Healthcare bought a majority stake in Chr. Diener, a German contract manufacturer of precision surgical instruments, through its private equity fund.

* Black Mountain Software Inc., a government accounting and billing software provider, received a capital injection from Peterson Partners LP.
